HAT FOUNDRY SOFTWARE TERMS & LICENSE AGREEMENT

These Software Terms & License Agreement (“Terms”) govern the purchase, installation, access to, and use of Hat Foundry software, plugins, applications, themes, updates, documentation, and related digital products (“Software”).
By purchasing, downloading, installing, accessing, or using Hat Foundry Software, you agree to these Terms.
1. SOFTWARE LICENSE
Your purchase provides you with a limited, non-exclusive, non-transferable license to use the purchased Hat Foundry Software for your own business or website, subject to these Terms.
Unless your specific license states otherwise, one purchase is intended for one business and its associated website/store.
You may create reasonable development, staging, or backup copies for the same licensed business.
You may not resell, redistribute, sublicense, share, publish, give away, or otherwise make the Software or its source files available to another person or business.
Purchasing Hat Foundry does not transfer ownership of the Software, source code, intellectual property, branding, documentation, or underlying technology to you.
2. WHAT HAT FOUNDRY DOES
Hat Foundry is software designed to help custom hat businesses sell products online.
Depending on the version purchased, Hat Foundry may integrate with platforms including:
- Shopify
- WordPress
- WooCommerce
Features may include customer artwork uploads, hat selection, product customization, mockups, pricing and quantity options, order information, and integration with your existing ecommerce and checkout system.
Hat Foundry is not a payment processor, ecommerce platform, web host, or merchant account provider.
Orders and payments are ultimately processed through your connected ecommerce platform and/or payment providers.
3. ONE-TIME PURCHASE
Where Hat Foundry is advertised as a one-time purchase, there is no recurring Hat Foundry software subscription required for continued use of the version of the Software you purchased.
Hat Foundry does not take a percentage of your sales unless a separate product, service, or agreement explicitly states otherwise.
Third-party platforms and services may charge their own fees. These may include Shopify, WooCommerce extensions, WordPress hosting, payment processors, email providers, apps, plugins, domains, or other services.
Those third-party charges are separate from your Hat Foundry purchase.
4. UPDATES
Unless otherwise stated at the time of purchase, your license includes access to updates made available for your purchased Hat Foundry product.
Updates may include bug fixes, compatibility improvements, design changes, security improvements, performance improvements, or new features.
“Lifetime updates” means updates released during the commercial life of the applicable Hat Foundry product. It does not guarantee that any particular feature, platform integration, or product will be developed or maintained forever.
We may modify, replace, redesign, discontinue, or remove features when reasonably necessary due to security, compatibility, third-party platform changes, technical limitations, or product development.
5. INSTALLATION
Installation assistance may be included with certain purchases.
When installation requires temporary access to your website or ecommerce platform, you are responsible for providing appropriate access and maintaining backups of your website and data.
We will make reasonable efforts to limit modifications to files and areas necessary to install and configure Hat Foundry.
You are responsible for reviewing and testing your website after installation before accepting live customer orders.
6. SHOPIFY AND WORDPRESS/WOOCOMMERCE COMPATIBILITY
Hat Foundry is designed to work with supported versions of its advertised platforms.
However, WordPress, WooCommerce, Shopify, themes, apps, plugins, browsers, hosting environments, APIs, and third-party software change over time.
We cannot guarantee compatibility with every theme, plugin, app, custom checkout, custom codebase, hosting configuration, or future third-party software update.
If a compatibility problem occurs, we will make reasonable efforts to determine whether the issue originates from Hat Foundry.
Compatibility work caused by unrelated third-party software, custom code, heavily modified websites, unsupported configurations, or services outside Hat Foundry may require additional paid development.
7. CUSTOMER RESPONSIBILITY
You are responsible for configuring and testing your store before accepting customer orders.
This includes verifying:
- Product pricing
- Hat styles and colors
- Available quantities
- Shipping settings
- Taxes
- Product options
- Artwork requirements
- Checkout behavior
- Order information
- Customer notifications
- Payment processing
You are also responsible for reviewing customer orders before production.
Hat Foundry is intended to streamline ordering, but software should not replace reasonable production checks by the business fulfilling the order.
8. MOCKUPS AND COLOR REPRESENTATION
Digital product mockups are visual representations only.
Actual hat colors, patch colors, artwork placement, print colors, engraving results, materials, screen calibration, manufacturing tolerances, and finished products may differ from what appears on a customer’s screen.
You are responsible for establishing appropriate proofing and production procedures for your business.
9. CUSTOMER ARTWORK
Hat Foundry may allow customers to upload logos, images, text, or other artwork.
You are responsible for determining whether artwork submitted through your website may legally be reproduced.
Hat Foundry does not grant your customers rights to trademarks, copyrighted artwork, logos, photographs, characters, brands, or other intellectual property owned by third parties.
You are responsible for establishing and enforcing your own artwork and intellectual-property policies.
10. DATA AND BACKUPS
You are responsible for maintaining backups of your website, store, customer information, artwork, orders, and other business data.
Hat Foundry should not be treated as the sole permanent storage location for important customer artwork or order information.
We are not responsible for data lost because of hosting failures, platform failures, deleted websites, third-party plugins, account termination, user error, malware, server failures, or circumstances outside our reasonable control.
11. SUPPORT
We want Hat Foundry customers to be successful and will make reasonable efforts to assist with legitimate Software issues.
Support does not include unlimited custom development, website redesign, unrelated WordPress or Shopify troubleshooting, third-party plugin repair, custom feature development, server administration, or general ecommerce consulting.
Customers requesting substantial work outside normal Hat Foundry support may be offered paid development services.
12. DIGITAL PRODUCT AND REFUND POLICY
Hat Foundry is a digital software product.
Because purchasers receive access to downloadable software, source files, installation materials, or other digital intellectual property, all software sales are final unless otherwise expressly stated at the time of purchase or required by applicable law.
Before purchasing, you are responsible for confirming that you are purchasing the appropriate version for your ecommerce platform.
If you experience a legitimate technical problem with Hat Foundry, please contact us so we can attempt to resolve it.
13. PROHIBITED USE
You may not:
- Resell or redistribute Hat Foundry Software.
- Share your Software files or license with unrelated businesses.
- Publish the source code for public download.
- Sell modified copies of Hat Foundry as your own software.
- Remove or circumvent licensing or security mechanisms.
- Use the Software to create a competing software product primarily derived from Hat Foundry’s proprietary code.
- Intentionally use the Software for unlawful activity.
You may modify the Software for your own licensed website unless specifically prohibited by a particular product license.
However, modifications you make yourself may not be covered by Hat Foundry support.
14. INTELLECTUAL PROPERTY
Hat Foundry and its Software, code, design systems, documentation, branding, graphics, and original materials remain the intellectual property of their respective owner(s).
Your purchase grants you a license to use the Software. It does not constitute a sale or transfer of the underlying intellectual property.
15. THIRD-PARTY SERVICES
Hat Foundry may interact with third-party platforms, software, APIs, applications, or services.
We do not control those services and cannot guarantee their continued availability, functionality, pricing, policies, or compatibility.
Changes made by Shopify, WordPress, WooCommerce, payment processors, hosting companies, browsers, or other third parties may occasionally require changes to Hat Foundry.
We are not responsible for outages, fees, policy changes, service discontinuations, or other actions caused by third-party providers.
16. NO GUARANTEE OF SALES
Hat Foundry is designed to make it easier for businesses to sell custom hats and streamline their ordering workflow.
We do not guarantee any particular level of sales, revenue, conversion rate, profit, customer acquisition, business growth, or financial performance.
Your results depend on numerous factors outside the Software, including your products, pricing, marketing, website traffic, reputation, customer service, market conditions, and business operations.
17. SOFTWARE AVAILABILITY
We work to provide reliable Software, but no software is completely free from bugs, interruptions, incompatibilities, or errors.
The Software is provided on an “as available” basis to the fullest extent permitted by applicable law.
We do not guarantee uninterrupted or error-free operation.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Hat Foundry and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Software.
This includes, without limitation, lost profits, lost sales, lost orders, production errors, lost customer data, lost artwork, website downtime, or business interruption.
To the fullest extent permitted by law, our total liability arising from a Hat Foundry Software purchase will not exceed the amount you actually paid us for the specific Software giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
19. TERMINATION
We may terminate a Software license when there is substantial evidence of piracy, unauthorized redistribution, fraudulent purchasing activity, intentional circumvention of licensing systems, or another material violation of these Terms.
Termination does not entitle the purchaser to a refund where the termination resulted from violation of these Terms.
20. CHANGES TO THESE TERMS
We may update these Terms as Hat Foundry evolves.
Changes will apply prospectively to continued use of services and future transactions to the extent permitted by applicable law.
Material changes will not retroactively eliminate rights already granted under a completed purchase unless required by law or agreed to by the purchaser.
21. GOVERNING LAW
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles.
Any disputes arising from these Terms will be handled in an appropriate court having jurisdiction in Ohio, unless applicable consumer law requires otherwise.
22. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
23. ENTIRE AGREEMENT
These Terms, together with the applicable product description, checkout terms, privacy policy, and any written license terms provided with your purchase, constitute the agreement governing your use of Hat Foundry Software.
If product-specific written terms conflict with these general Terms, the product-specific terms will control for that product.

By purchasing, downloading, installing, or using Hat Foundry, you acknowledge that you have read and agree to these Software Terms & License Agreement.
